Terms and Conditions

These Terms of Service ("Terms") govern your use of the Cronshift mobile and web applications (collectively, the "App") operated by Cronshift, LLC ("Cronshift," "we," "us," or "our"). By downloading, accessing, or using the App, you ("Healthcare Professional," "you," or "your") agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must not use the App.

1. Overview of the Cronshift App

The Cronshift App is a workforce management and scheduling platform that allows healthcare professionals to:

• View assigned schedules and timekeeping records.
• Clock in/out and verify attendance.
• Request open shifts and accept shift offers.
• Swap shifts or request time off.
• Communicate with Cronshift or client facilities through in-app messaging.

Cronshift provides the App solely to support your professional engagement with client facilities and/or partners using our Services.

2. Eligibility

To use the App, you must:

• Be legally eligible to work in your jurisdiction.
• Hold any required active professional licenses, credentials, or certifications.
• Have an existing or pending relationship with a facility or agency that partners with Cronshift.

Cronshift may suspend or terminate your access if any eligibility criteria are no longer met.

3. Account Registration and Security

You must create an account to access most App features. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain the confidentiality of your login credentials.
• Notify Cronshift immediately of any unauthorized access or security breach.
• Be responsible for all activities that occur under your account.

Cronshift reserves the right to deactivate or delete accounts for violations of these Terms or suspected fraudulent activity.

4. Use of the App

You agree to use the App solely for lawful, professional purposes. You shall not:

• Misrepresent your credentials, identity, or qualifications.
• Falsify timekeeping, shift attendance, or work records.
• Use the App for unauthorized data collection, scraping, or reverse engineering.
• Post or transmit offensive, threatening, or confidential information through in-app messaging.
• Interfere with the App’s operation or security.

Cronshift may monitor and moderate App activity to ensure compliance with these Terms.

5. Scheduling and Timekeeping

A. Shift Management

The App enables you to view, accept, swap, or release shifts in accordance with facility or agency policies. All shift approvals, cancellations, and changes are subject to final confirmation by the facility or agency.

B. Timekeeping

Clock-in and clock-out times recorded through the App are used for attendance and payroll verification. You agree to accurately record your work hours and acknowledge that falsifying records may result in disciplinary action, including termination of platform access.

C. Open Shifts

Open shifts displayed in the App are offered on a first-come, first-served or approval basis. Cronshift does not guarantee availability or acceptance of open shift requests.

D. Time-Off Requests

You may request time off through the App. Approval of time-off requests is determined by your facility or agency and is not guaranteed by Cronshift.

6. In-App Messaging

The App includes messaging tools for communication between you, facilities, agencies, and Cronshift support. You agree to use messaging professionally and understand that:

• Messages may be monitored or retained for compliance, safety, and support purposes.
• Harassment, discrimination, or unprofessional conduct is strictly prohibited.
• Confidential information about patients or clients must not be shared through the App unless authorized and compliant with applicable law (e.g., HIPAA).

7. Data Privacy

Your use of the App is also governed by the Cronshift Privacy Policy, available at cronshift.com/privacy-policy. Cronshift collects and processes certain Personal Information, including but not limited to:

• Contact details, professional information, and credentials.
• Shift history, attendance, and geolocation (for clock-in verification).
• In-app communications and device identifiers.

Cronshift uses this data to operate, improve, and secure the App. If you are associated with a healthcare facility or staffing agency, some of your information may be shared with that organization to support operations and compliance.

8. Intellectual Property

All content, software, and technology used in the App are owned or licensed by Cronshift. Cronshift grants you a limited, revocable, non-exclusive, non-transferable license to use the App solely for professional purposes under these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the App or its content.

9. Suspension and Termination

Cronshift may suspend or terminate your access to the App if:

• You violate these Terms or applicable law.
• You engage in fraudulent, abusive, or unsafe behavior.
• Your employment or engagement with a partner agency or facility ends.
• The App or certain Services are discontinued.

You may stop using the App at any time. Upon termination, certain data may be retained as required by law.

10. Disclaimers

The App and related Services are provided "as is" and "as available." Cronshift makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Cronshift does not guarantee uninterrupted, secure, or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law:

• Cronshift is not liable for any indirect, incidental, or consequential damages arising from your use of the App.
• Cronshift’s total liability for any claim shall not exceed the amount paid (if any) for use of the App in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cronshift, its affiliates, officers, employees, and agents from any claims, damages, or liabilities arising from:

• Your breach of these Terms.
• Misuse of the App.
• Violation of law or professional conduct standards.

13. Modifications

Cronshift may update these Terms periodically. Updates will be posted in the App or sent to you via email. Continued use after such updates constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles.
